Membership Terms and Conditions

This User Agreement and Privacy Policy (“Agreement”) governs each website, mobile site, application, and/or other service (together, the “Service”) provided by NIGERIAN YOUNG PROFESSIONALS FORUM (NYPF). This Agreement is binding on all those who access, visit and/or use the Service, whether acting as an individual or on behalf of an entity, including you and all persons, entities, or digital engines of any kind.

Please read this Agreement carefully. You can access this Agreement any time in the footer of the Service’s home page or initial screen. Your access, visitation and/or use of the Service, including without limitation any registration on any aspect of the Service, will constitute your agreement to these Terms. If you do not agree with the terms and conditions of this Agreement, you are not authorized to access, visit and/or use the Service.

The Agreement may be modified from time to time; the date of the most recent revisions will appear on this page, so check back often. Continued access of the Service by you will constitute your acceptance of any changes or revisions to the Agreement.

If you violate or act inconsistently with the rules, restrictions, limitations, terms and/or conditions that apply to the Service, whether listed in this Agreement, posted at various points in the Service, or otherwise communicated to users of the Service, we may terminate, suspend, and/or restrict your account/profile, your ability to access, visit, and/or use the Service or any portion thereof, and/or the Agreement, including without limitation any of our purported obligations hereunder, with or without notice, in addition to our other remedies. In addition, we may restrict or refuse to provide you with any future access, visitation, and/or use of the Service. We reserve the right, in addition to our other remedies, to take any technical, legal, and/or other action(s) that we deem necessary and/or appropriate, with or without notice, to prevent violations and enforce the Agreement and remediate any purported violations. You acknowledge and agree that we have the right hereunder to an injunction without posting a bond to stop or prevent a violation of your obligations under the Agreement.

In the event of any conflict or inconsistency between the terms and conditions of this Agreement, and any rules, restrictions, limitations, terms and/or conditions that may be posted at various points in the Service or otherwise communicated to users of the Service, we shall determine which rules, restrictions, limitations, terms and/or conditions shall prevail in our sole discretion, and you waive any right to dispute such determination.

Among other things, the Agreement governs all text, articles, photographs, images, graphics, illustrations, artwork, video, audio, music, podcasts, ringtones, games, trademarks, trade names, service marks, and other brand identifiers, designs, plans, software, source and object code, algorithms, data, statistics, analysis, formulas, indexes, registries, repositories, and all other content, information, and materials (collectively, “Content”) available on or through the Service, whether posted, uploaded, transmitted, sent or otherwise made available by us, our licensors, vendors, and/or service providers, or by you, and/or other users or third parties, including any such Content uploaded manually or bookmarked by you and/or other users.

The service allows users to (i) learn generally about NYPF (ii) access information (iii) gain exclusive access to full site content, including employment opportunities and press contact information of NYPF. We may, in our sole discretion and at any time, update, change, suspend, make improvements to, or discontinue any aspect of the Service, temporarily or permanently.

  1. We may at times require that you register for certain services and/or set up an account/profile to access, visit and/or use certain portions of the Service, or the Service as a whole, in which case you may be provided, or required to choose, a password and/or User ID, and you may provide a credit, debit, or charge card number, or other payment information, as well as your name, telephone number(s), email and/or street address, and other personally identifiable information. Other information such as your age, gender, and the number for your mobile or other device may also be requested. In addition, you may be asked to send us similar information via messaging (e.g., email, SMS, MMS, or other technologies). All such information shall be referred to in the Agreement as your “Registration Information.” We may use and share your Registration Information as described in our Privacy Policy.
  2. You agree, represent, warrant, and guarantee that all Registration Information provided by you is true, accurate, complete, up-to-date, and solely yours. You may not impersonate, imitate or pretend to be somebody else when registering and/or setting up an account/profile on the Service. If any of your Registration Information changes, you must update it promptly by using the mechanism or contact information on the Service that allows you to change or update your Registration Information, if available. If no such mechanism or contact information is available on the Service, please notify NYPF as described in our Privacy Policy. WE AND OUR INDEMNITEES (AS DEFINED BELOW) SHALL HAVE NO LIABILITY ASSOCIATED WITH OR ARISING FROM YOUR FAILURE TO MAINTAIN ACCURATE, COMPLETE OR UP-TO-DATE REGISTRATION INFORMATION, INCLUDING WITHOUT LIMITATION YOUR FAILURE TO RECEIVE CRITICAL INFORMATION. NEITHER WE NOR OUR INDEMNITEES SHALL BE RESPONSIBLE FOR VERIFYING YOUR REGISTRATION INFORMATION.
  3. We reserve the right, at any time, with or without notice, to remove or require a change to or repossess any password and/or User ID that has been provided to you, or other Registration Information, or otherwise change the access means or methods for portions of the Service, the Service as a whole, or certain products and/or services.
  4. You will be solely responsible for maintaining the confidentiality of your Registration Information. You may not authorize or permit anyone else to access and/or use your Registration Information, or access, visit, and/or use the Service by use of your account/profile and/or Registration Information. You may not access and/or use anyone else’s Registration Information, or access, visit, and/or use the Service by use of anyone else’s account/profile and/or Registration Information. You may not sub-license, transfer, sell, rent or assign your Registration Information to any third party without our written approval. Any attempt to do so will be null and void and shall be considered a material breach of the Agreement.
  5. You are solely responsible for all access or visitation to, usage of, or activity on your account/profile, including, but not limited to, use of the account/profile by any person who uses your Registration Information, with or without authorization, or who has access to any computer, mobile or other device on which your account/profile resides or is accessible.
  6. If you have reason to believe that your account/profile is no longer secure (for example, in the event of a loss, theft, or unauthorized disclosure or use of your Registration Information), you must immediately change the affected Registration Information by using the mechanism or contact information on the Service, if available, and/or close the account/profile. If no such mechanism or contact information is available on the Service, please immediately notify us as described in our Privacy Policy.

A. There shall be a yearly subscription for members in different categories as contained on the website.

B. In addition, you are responsible for obtaining and maintaining at your own expense all equipment, hardware, software, telephone, mobile, wireless, Internet, and other services necessary to access, visit, and/or use the Service.

C. NYPF does not retain credit, debit, or other payment information at any time. All information related each specific means of payment goes through our service providers for payment (see below). NYPF cannot be held responsible for errors or mistakes related to the use of our service providers such as Paystack.

Payment of all subscriptions can be performed either by using paystack or through wire transfer. In the later case, an evidence of transfer should be sent to the email below:

The communications between you and us will usually take place via electronic means, whether you access, visit, or use the Service or send us messages, or whether we post notices on the Service or communicate with you via email. For contractual purposes, you (a) consent to receive communications from us in electronic form; and (b) agree that all notices, documents, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications would satisfy if they were in writing.

The Service is based in Nigeria. Those who choose to access, visit, and/or use the Service do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable. We make no representation, warranty, or guarantee that the Service, or any merchandise, products, services, and/or Content available on or through the Service are appropriate, available, or legal in any particular geographic location.

We reserve the right to post, from time to time, additional rules that apply to certain portions of the Service, or the Service as a whole. Such additional rules will be posted in the relevant portions of the Service and are hereby incorporated into the Agreement by this reference. Your continued access, visitation, and/or use of the Service constitutes your agreement to comply with these additional rules.

The rules, restrictions, limitations, terms, and conditions that apply to the Service, whether listed in this User Agreement and Privacy Policy, posted at various points in the Service, or otherwise communicated to you, constitutes the Agreement and entire understanding between the parties, and supersedes prior agreements between the parties, whether oral or written, with respect to the subject matter hereof. Unless explicitly stated in writing by us, any new or additional features, functionality, or Content that augment or enhance the Service, including the release of updates, upgrades, and/or services, shall be subject to the terms and conditions of the Agreement.

This website (“Site”) is operated by Nigerian Young Professionals Forum (NYPF); a Non-Governmental Organization composed of young professionals from different fields of human endeavor, coming together to achieve major objectives towards Nigeria’s development. Our registered address is Plot 1002 First Avenue, Central Business District, Abuja, Nigeria.

2. WHAT IS THIS PRIVACY POLICY IS FOR?

This privacy policy (“Privacy Policy”) applies to personal data that we collect from you as a user of this Site or as a partner applicant, subscriber, or customer (“you” or “your” being interpreted accordingly). It provides information on what personal data we collect, why we collect the personal data, how it is used and the lawful basis on which your personal data is processed, and what your rights are under the applicable data protection and privacy laws, including the General Data Protection Regulation (“GDPR”) which will become applicable to us and you as 1st April, 2021.

‘Personal data’ as used in this Privacy Policy means any information that relates to you from which you can be identified.

By using our Site or submitting your personal data you are taken to accept the terms of this Privacy Policy, so please read it carefully.

3. PERSONAL DATA WE COLLECT

We collect the following personal data about you:

  • Newsletter Subscription: When opting in to subscribe to one of our email newsletters, we collect your email address, and in some cases your first and last name.
  • Other Information: Personal details you choose to give when corresponding with us by phone, intercom or e-mail, participating in user/customer/member surveys or otherwise visiting and interacting with this Site or any other websites we operate.

4. AUTOMATICALLY COLLECTED PERSONAL DATA

  • Log Data: When you visit our Site, our servers record information (“log data”), including information that your browser automatically sends whenever you visit the Site. This log data includes your Internet Protocol (“IP”) address (from which we understand the country you are connecting from at the time you visit the Site), browser type and settings, the date and time of your request.
  • Our Site uses cookies (small text files placed on your device) and similar technologies to distinguish you from other users. This is to provide you with a good user experience when you browse our Site and allows us to improve its features.

5. HOW WE USE YOUR PERSONAL DATA

We use your personal data in the following ways:

  • To contact you in connection with user/customer/ surveys and use any information you choose to submit in response, provided that you gave us your consent to being contacted in this way at the time you provided us with the personal data.
  • If you choose to subscribe (opt-in) to one of our various newsletters, we will send our periodic newsletter to the email address you provided us. Members can opt-out of our newsletters at any time by clicking the “Unsubscribe” link that is present on every email at the very bottom of the newsletter.
  • NYPF, may provide you, or permit selected third-party service providers to provide you, with information about goods or services, events and other promotions we feel may interest you as a member, applicant or customer. We (or such third-party providers) will contact you by email only with your consent, which was given at the time you provided us with the personal data.
  • We may use your personal data for other purposes which you have consented to at the time of providing your data.
  • As necessary for certain legitimate business interests, which include the following:
  • where we are asked to deal with any inquiries or complaints you make.
  • to administer our Site, to better understand how visitors interact with our websites and ensure that our Site is presented in the most effective manner for you and for your computer/device.
  • to conduct analytics to inform our marketing strategy and enable us to enhance and personalize the experience we offer to our members and our communications, including by creating customer or member profiles to enable personalized direct marketing communications.
  • if you ask us to delete your data or to be removed from our marketing lists and we are required to fulfil your request, to keep basic data to identify you and prevent further unwanted processing.
  • we may anonymize, aggregate and de-identify the data that we collect and use such anonymized, aggregated and de-identified data for our own internal business purposes, including sharing it with our current and prospective members, business partners, our affiliated businesses, agents and other third parties for commercial, statistical and market research purposes, for example to allow those parties to analyse patterns among groups of people, and conducting research on demographics, interests and behaviour.
  • for internal business/technical operations, including troubleshooting, data analysis, testing, research, statistical and survey purposes and as part of our efforts to keep our Site, network and information systems secure.
  • to (a) comply with legal obligations, (b) respond to requests from competent authorities; enforce our Terms of Use; (c) protect our operations or those of any of our affiliated businesses; (d) protect our rights, safety or property, and/or that of our affiliated businesses, you or others; and (e) enforcing or defending legal rights, or preventing damage.

As used in this Privacy Policy, “legitimate interests” means the interests The Nigerian Young Professionals Forum, in conducting and managing our organization. When we process your personal data for our legitimate interests, we make sure to consider and balance any potential impact on you, and your rights under data protection laws. Our legitimate interests do not automatically override your interests. We will not use your personal data for activities where our interests are overridden by the impact on you, unless we have your consent or those activities are otherwise required or permitted to by law. You have the right to object at any time to processing of your personal data that is based on our legitimate interests, on grounds relating to your particular situation (for more information on your rights, please see “Your Data Protection Rights” section below).

6. DISCLOSURE OF YOUR INFORMATION

We share your personal data with third parties in the following situations:

  • Service Providers: The Nigerian Young Professionals Forum like many Organisations, sometimes hires selected third parties who act on our behalf to support our operations, such as (i)IT suppliers and contractors (e.g., data hosting providers or delivery partners) as necessary to provide IT support and enable us to provide customer or members services and other goods/services available on this Site or to members, (ii) web analytics providers, and (iii) providers of digital advertising services. Pursuant to our instructions, these parties may access, process or store your personal data in the course of performing their duties to us and solely in order to perform the services we have hired them to provide.
  • Business Transfers: if we sell our business or our company assets are acquired by a third-party personal data held by us about our applicants, members, customers may be one of the transferred assets.
  • Administrative and Legal Reasons: if we need to disclose your personal data (i) to comply with a legal obligation and/or judicial or regulatory proceedings, a court order or other legal process. (ii) to enforce our Terms of Use or other applicable contract terms that you are subject to or (iii) to protect us, our members, applicants, customers, or contractors against loss or damage. This may include (without limit) exchanging information with the police, courts or law enforcement organizations.

8. SECURITY

Where we have given you (or where you have chosen) a password or log-in which enables you to access certain restricted parts of our Site, you are responsible for doing everything you reasonably can to keep these details secret. You must not share your password or log-in details with anyone else.

Unfortunately, the transmission of information over the internet or public communications networks can never be completely secure. We will take appropriate technical and organizational security measures to protect the personal data that you submit to us against unauthorized/unlawful access or loss, destruction or damage, although we cannot 100% guarantee the security of personal data that you provide to us online.

10. PERSONAL DATA RETENTION

We will keep your personal data only for as long as is reasonably necessary for the purposes outlined in this Privacy Policy, or for the duration required by any legal, regulatory, accounting or reporting requirements, whichever is the longer. When you consent to receive marketing communications, we will keep your data until you unsubscribe.

Upon expiry of the applicable retention period we will securely destroy your personal data in accordance with applicable laws and regulations. In some circumstances we may anonymize your personal data so that it can no longer be associated with you, in which case it is no longer personal data.

11. YOUR PERSONAL DATA PROTECTION RIGHTS

Certain applicable data protection laws give you specific rights in relation to your personal data. In particular, if the processing of your personal data is subject to the GDPR, you have the following rights in relation to your personal data:

  • Right of access: If you ask us, we will confirm whether we are processing your personal data and, if so, provide you with a digital copy of that personal data along with certain other details such as the purpose of the data processing.
  • Right to rectification: If your personal data is inaccurate or incomplete, you are entitled to ask that we correct or complete it. If we shared your personal data with others, we will tell them about the correction where possible. If you ask us, and where possible and lawful to do so, we will also tell you with whom we shared your personal data so you can contact them directly.
  • Right to erasure: You may ask us to delete or remove your personal data, such as where our legal basis for the processing is your consent and you withdraw consent. If we shared your data with others, we will tell them about the erasure where possible. If you ask us, and where possible and lawful to do so, we will also tell you with whom we shared your personal data with so you can contact them directly. We may continue processing personal data where this is necessary for a legitimate interest in doing so, as described in this Privacy Policy.
  • Right to restrict processing: You may ask us to restrict or ‘block’ the processing of your personal data in certain circumstances, such as where you contest the accuracy of the personal data or object to us processing it. We will tell you before we lift any restriction on processing. If we shared your personal data with others, we will tell them about the restriction where possible. If you ask us, and where possible and lawful to do so, we will also tell you with whom we shared your personal data so you can contact them directly.
  • Right to data portability: You have the right to obtain your personal data from us that you consented to give us or that was provided to us as necessary in connection with our contract with you. We will provide you with your personal data in a structured, commonly used and machine-readable format. You may reuse it elsewhere.
  • Right to object: You may ask us at any time to stop processing your personal data, and we will do so:
  • If we are relying on a legitimate interest to process your personal data — unless we demonstrate compelling legitimate grounds for the processing or
  • If we are processing your personal data for direct marketing.
  • Right to withdraw consent: If we rely on your consent to process your personal data, you have the right to withdraw that consent at any time. This will not affect the lawfulness of processing of your data before we received notice that you wished to withdraw your consent.

If you wish to exercise any of these rights, please contact us as described in the “Contact” section below. We may also need to ask you for further information to verify your identity before we can respond to any request.

You should be aware that it may not be technologically possible to remove each and every record of the information you have provided to us from our servers. The need to back-up our systems to protect information from inadvertent loss means that a copy of your personal information may exist in a non-erasable form that may be difficult or impossible for us to locate.

In addition, we have the right to delete any account at any time if required to do so by process of law, or if necessary, in order to investigate fraud, a violation of our Terms of Use or in connection with any harm being caused to a third party or their rights.
